Terms of Service

1. Acceptance of Terms

By accessing or using Paritas (paritas.ai), operated by Digion Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Service

Paritas provides automated bias auditing of Automated Employment Decision Tools (AEDTs), including data analysis, report generation, report hosting, and compliance assessment services ("Services"). The Services are provided via our web platform at paritas.ai.

3. Account Registration

You must register an account to use the Services.

  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You must provide accurate and complete registration information.
  • You must notify us immediately of any unauthorized use.

4. Customer Data & Candidate Data

Important: Data Ownership & Processing

You retain all ownership rights to data you upload or sync to Paritas ("Customer Data"), including candidate employment records ("Candidate Data").

You grant Paritas a limited license to process Customer Data solely for the purpose of providing the Services—specifically, to perform bias analysis and generate audit reports.

You represent and warrant that you have the legal authority to provide Candidate Data to Paritas for bias audit purposes, and that doing so complies with applicable privacy and employment laws.

Paritas will hash all candidate personally identifiable information and will never include individual candidate data in published reports.

5. Published Reports

When you publish an audit report through Paritas, the report is hosted permanently at a public URL on paritas.ai. This is a core feature designed to satisfy LL144's public posting requirement.

  • Published reports contain only aggregate statistical results—no individual candidate data.
  • Published reports are never deleted. If you publish a new audit for the same AEDT, the updated report is published alongside the original with full version history.
  • You may request that a report be marked as "superseded" but it will not be removed.

6. Fees & Payment

  • Subscription fees are billed annually in advance via Stripe.
  • One-time audit fees are billed upon engagement.
  • All fees are non-refundable except as required by law.
  • We may change pricing with 30 days' notice before your next billing cycle.
  • Failure to pay may result in suspension or termination of access.

7. ATS Integrations

When you connect an ATS provider (Greenhouse, Lever, iCIMS, SmartRecruiters, Ashby), you provide your own API credentials.

  • You represent that you have authorization to use those credentials and to share the resulting data with Paritas for audit purposes.
  • Paritas encrypts stored credentials with AES-256-GCM and decrypts only at sync time.
  • Paritas is not responsible for changes to third-party ATS APIs, rate limits, or access restrictions imposed by ATS providers.

8. Limitation of Liability

Paritas provides bias auditing services based on the data provided to us. Our audit reports represent a statistical analysis of the data supplied and should be reviewed by your legal counsel for compliance decisions.

Paritas is not a law firm and does not provide legal advice. Our reports do not constitute a legal opinion on your AEDT's compliance with any regulation.

To the maximum extent permitted by law, Paritas's total liability for any claims arising from the Services shall not exceed the fees paid by you in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Digion Inc. and its officers, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Services
  • Your breach of these Terms
  • Your violation of any third-party rights
  • Any claim related to Candidate Data you provided

10. Termination

  • You may cancel your subscription at any time. Access continues until the end of your current billing period.
  • We may terminate or suspend your account for breach of these Terms.
  • Upon termination, your Customer Data (excluding published reports) will be retained for 30 days, then permanently deleted unless you request earlier deletion.
  • Published reports remain hosted per Section 5.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in New York County, New York.

12. Changes to Terms

We may modify these Terms with 30 days' notice via email or prominent notice on the platform. Continued use after the effective date constitutes acceptance.
